THIS TERMS OF SERVICE, made between Jacoby & Meyers PLLC,  a law firm based in Mississippi and licensed attorneys throughout the United States (the "Provider"), and you, the Client, (the "Client" or "You").

Section 1:  Limited Services (also referred to as unbundled legal services)

These terms apply to Limited Virtual Services which shall mean limited legal services delivered solely via technology rather than for the complete array of services that attorneys often provide to their clients in person such as litigation matters and representation.

1.  All unbundled legal services are offered by the Provider may include document preparation, document review, answering legal questions (Ask A Question) and other limited services.  The services offered will be limited to the service description. Should you require additional services, arrangements must be made with Provider before providing the services.

2.  The fee for the service as shown at the time of your order, is the fee agreed to between Provider and you.

3.  By completing and submitting your order, you agree to Provider's limited representation of you in this matter and provide your consent to same. You further understand and agree that should you desire full representation, such arrangement must be made by separate order.  Client agrees to cooperate with Provider and to provide all information known by or available to Client to aid Provider in completing your Limited Service request.

4.  The obligations of Provider under this agreement terminate upon delivery of the limited services you requested, unless otherwise agreed.

5.  As with any legal service, the Provider cannot guarantee any legal outcome.  Responsibility for proper and timely filing of legal documents remains with You.  Provider shall not be responsible for compliance with state and local legal procedures.

6.  Client has carefully read this Agreement and understands the possible risks and benefits of the limited-service representation described in this Agreement. Understanding those possible risks and benefits, Client voluntarily, knowingly and intentionally enters into this Agreement with Provider.

7.  All Limited Services are also subject to the terms of Section 3 below.

Section 2:  Confidentiality

Provider will deliver limited legal services pertaining to your state only.  The attorney assigned to your request for services will comply with the state ethics laws pertaining delivery of said services.

In compliance with said ethics laws, rules and restrictions of professional conduct, the attorney is bound by stringent standards of confidentiality.  Any information received by Provider from its clients is held in strict confidence and is not released to anyone outside of this practice, unless agreed to by You, or as required under applicable law.

An attorney-client relationship with Provider is established only after a specific question has been posed to an attorney at this practice through a prospective client's personal login page and that question has been confirmed as received through a reply communication from the attorney.  Prospective clients should be aware that our duties of confidentiality and the attorney-client privilege may not arise until an attorney has expressly communicated the ability to respond to that prospective client.  Once personal information has been provided, Provider will check for possible conflicts of interest before accepting representation for your request legal service.  Provider may decline service if a conflict is discovered.

Section 3:  General Provisions

A.  Termination

1.  Client may terminate this Agreement for any or no reason, although Client will be obligated under this Agreement to meet Client's obligations to Provider, including the obligation to pay Provider any agreed upon fee to the extent it is earned.

2.  Provider reserves the right to withdraw from this matter if Client fails to honor this Agreement or for any other reason permitted or required under the Rules of Professional Responsibility or as permitted by the rules of courts of the State of practice; including, but not limited to, the failure of Client to promptly pay when due all fees and expenses billed to Client. Notification of withdrawal shall be made in electronic communication or other notification to Client. In the event of such withdrawal, Client agrees to promptly pay for all services rendered by Provider.

3.  If Provider determines that Provider represents another Client whose interests conflict, or are likely to conflict, with Client's interests, Provider reserves the right to terminate this Agreement, while protecting the confidentiality of any privileged information that Client has provided to Provider.

B.  Registration

1.  Delivery of legal services by Provider shall be accomplished through the use of virtual technology known as Ablepro&#8482;.  In order to retain services from Provider, you must create an account with Ablepro&#8482; and agree to its Terms of Use.  By registering with Ablepro&#8482;, you are representing that you are at least 18 years of age and able to enter into a binding legal contract with Provider.  You also represent that the information you provide to Provider is accurate, complete, correct and updated.

2.  You agree to receive all required notices electronically, to your e-mail address. It is your responsibility to update or change that address, as appropriate. If notices to you are returned as undeliverable, your account will be deactivated.

C.  Client Funds

1.  No fee is charged for registering an account with Ablepro&#8482;, our legal service technology platform.

2.  In most limited legal service situations, no client's funds will be collected by Provider and transferred to Provider until the legal services requested by client are ready to be accessed and received by client on their personal login page.  Some services may require the upfront payment of a retainer fee before Provider will begin work.  After the client's payment of the agreed upon price is confirmed through a Cardholder Information Security Program (CISP) compliant credit card processor, the client will have complete access to the legal advice, documents and research or other services provided by the attorney.  Provider will not collect or pay on your behalf any court costs, filing fees, service of process fees, or recording fees associated with your service, unless you consent in writing.

D.  Records

You must provide true, accurate, current and complete records and information about your account, and you may not misrepresent any information including but not limited to your Registration Information. You must also keep your Registration Information up to date and accurate.  The information provided by You in your account will be used during your transactions with Provider to provide limited legal services in compliance with the laws of your state.  Your information may be provided to a third party in order to provide the service you requested and/or as is required by law.  All other use of your personal information will be limited to the attorney/client relationship with Provider.

E.  Entire Agreement

This Agreement constitutes the entire agreement of the parties with respect to the subject matter hereof, and supersedes and cancels all other prior agreements, discussion, or representations, whether written or oral.

F.  Severability

In the event any one or more of the provisions contained in this Agreement is deemed unlawful, void or unenforceable by any arbitrator or court of competent jurisdiction, this Agreement as a whole shall not be deemed unlawful, void or unenforceable, but only that portion of this Agreement that is unlawful, void or unenforceable shall be stricken from this Agreement and the rest shall remain in full force and effect.

G.  Jurisdiction

This Agreement shall be governed and construed by the laws of the State of Mississippi without regard to its conflict or choice of law provisions.

H.  Assignment.

The rights and obligations created for You under this Agreement may not be assigned to any other party.

I.  Force Majeure.

Provider will not be deemed to be in breach of this Agreement for any delay or failure in performance caused by reasons out its reasonable control, including acts of God or a public enemy, natural calamities, failure of a third party to perform, changes in the laws or regulations, actions of any civil, military or regulatory authority, power outage or other disruptions of communication methods or any other cause which would be out of the reasonable control of Provider.

J.  Miscellaneous

If suit, action or arbitration is brought to enforce or interpret any provision of this Agreement, or the rights or obligations of any party hereto as they relate to the subject matter of this Agreement, the prevailing party shall be entitled to recover, as an element of such party's costs of suit, and not as damages, all reasonable costs and expenses incurred or sustained by such prevailing party in connection with such suit or action or arbitration, including, without limitation, attorneys' fees and expenses and court costs.
